Cencorp Corporation and Hannu Seppälä, a member of the company’s management team,  have come to an agreement whereby Mr. Seppälä establishes a new company called
TMD Test Mechanic & Design Oy (”TMD”) from which Cencorp will buy product development services and product prototypes of electronics testing equipment. Mr. Seppälä’s employment at Cencorp comes to an end at the same time. Cencorp has first call on the results of TMD’s product development.

The business model developed by Cencorp and TMD ensures rapid, flexible and customer-driven product development of testing solutions. The results of TMD’s product development are Cencorp products and will be sold through Cencorp distribution channels. The agreement is aimed at creating a basis for long-term cooperation between TMD and Cencorp.

Mr. Seppälä has been employed by Cencorp since 1999, when Cencorp bought from him Salon Hannu Seppälä Oy, a company specialized in mobile phone testing solutions. Today the company is known as Cencorp test solutions Oy; this subsidiary of Cencorp Corporation will be merged into the parent company on the 1st of January 2006. Hannu Seppälä owns 192,857 shares of Cencorp and 107,000 Cencorp options from the year 2004. TMD operates in the Meriniitty industrial area in Salo in
Finland, in facilities owned by Cencorp.

The product development cooperation with TMD strengthens Cencorp’s own internal product development. Cencorp’s own product development investments will be kept at least at their current level. During first three quarters of year 2005 product
development investments have been 5,5% of the company’s turnover. Investments in product development have focused particularly on new product groups to enable growth in new market segments, such as production automation for the
semiconductor industry.

Cencorp shall introduce several new products – for example the Cencorp 1000 LS laser soldering cell, which has been developed especially for lead-free soldering applications at the Productronica exhibition which starts today(www.productronica.de). A new depanelling product, based on patented technology is also on view at the exhibition. Cencorp 1000 OL  targets electronics manufacturers in low labour cost countries, which constitute a rapidly growing market segment to Cencorp.
