NOTICE PURSUANT TO THE SECURITIES MARKETS ACT CONCERNING CHANGE OF OWNERSHIP

 

Mr.  Sauli Kiuru, board member of Cencorp Corporation, has subscribed 400,000 Cencorp shares based on primary subscription right and 3,254,175 Cencorp shares based on secondary subscription right  in the directed share issue decided by extraordinary shareholders meeting, held on September 27, 2007. Total subscription price invested by Mr. Kiuru was EUR  1,242,419.5. Subscriptions were made on behalf of Tilitoimisto Capital Oy (Business ID: 1066421-4) which is a company under control of Mr. Kiuru.

 

Based on the subscriptions the ownership percentage of Tilitoimisto Capital Oy and its wholly owned subsidiary Tuohi & Paalu Oy (Business ID: 1110556-1) will increase from 1,18% to 11,9 % of the share amount and voting rights of Cencorp Corporation registered in Trade Register. Both companies are under control of Mr. Kiuru.

 

According to the interpretation of the Finnish Financial Supervision of the disclosure of major holdings in the Securities Markets Act when assessing a disclosure obligation, the proportion of holdings must always be calculated in relation to the share capital entered in the trade register. The effects on the share capital and voting rights of any later conversions or subscriptions shall not be taken into account.

 

Due to the above mentioned interpretation the ownership percentage is not accurate. Cencorp Corporation will publish accurate changes in the ownership related to decisions of the extraordinary shareholders meeting, held on September 27, 2007 during week 43/2007 when share transactions related to decisions have been accomplished.

 

The total number of registered Cencorp Corporation  shares and voting rights is 34.250.591 and the share capital is EUR 3.425.059,10.
