The annual general meeting of Cencorp Corporation will be held on 23 March 2006 at 02:00 p.m. at the company’s headquarters, address Maksjoentie 11, 08700  Virkkala, Finland. Invitation to the annual general meeting will be published
later.

1. Proposal concerning compensation of the board members

The Nomination and Compensation Committee of the company proposes that following compensations will be paid to the board members and chairman of the board:
Board members: 350 euros per month, Chairman of the board 700 euros per month. Furthermore, 170 euros will be paid  per each meeting in which board members have been present.

2. Proposal concerning board members

The Nomination and Compensation Committee of the company proposes that the amount of board members will be 4. Furthermore, the Nomination and Compensation  Committee proposes that the current board members Mr Jorma Kielenniva,
Mr Jan-Erik Stenman, Mr Petri Väinölä and Mr Markku Jokela will be re-elected to the Board. All the aforesaid individuals have given their consent to their election.

3. Proposal concerning auditor

Proposal of the board concerning auditor will be published later on by separate stock exchange release.

4. Proposal concerning removal of the article 15 of the articles
of association

Board proposes that article 15 of the articles of association concerning redemption obligation will be removed. Reason for removal is that according to the opinion of the board:

     1.) Redemption obligation article is not customary in
     the articles of association of the listed company

     2.) Redemption obligation article can restrain growing
     possibilities of Cencorp Corporation based on acquisitions.

5. Announcement of the certain shareholders to the Board of Directors

Shareholders who represent over 20 percent of the votes of the company have informed that they support proposals of the Board of Directors and proposals of the Nomination and Compensation Committee.
